1. Eligibility:

The MERIAL® “Win What You Buy” CONSUMER Sweepstakes (the “Sweepstakes”) is open to legal residents of any one (1) of the fifty (50) United States or the District of Columbia who are at least age 18 and the age of majority in the state in which they primarily reside and who own a dog or cat prior to July 1, 2010. Employees, officers, directors, members and managers of Merial Limited (”Sponsor”) or its parents, affiliates, subsidiaries, successors and assigns, advertising, promotion or fulfillment agencies (including Armstrong Partnership LP (”Armstrong”)), prize suppliers, insurers, legal advisors, or participating veterinary clinics, (collectively, with Sponsor, the “Sponsor Affiliates”) and members of their immediate families (parent, legal guardian, spouse, sibling, or child and their respective spouses) and/or persons living in the same household of each (whether or not related) are not eligible. Void where prohibited by law. All federal, state, and local laws and regulations apply. By participating in this Sweepstakes and as a condition of participation, participants agree to these Official Rules and the decisions of Sponsor and Armstrong, which are final and binding in all respects, including interpretation of these Official Rules and awarding of the prizes.

2. How To Participate:

Eligible individuals must obtain a scratch card (“Scratch Card”) to participate. There are two (2) ways to obtain a Scratch Card:

To obtain a Scratch Card with a purchase, while supplies last, between July 1, 2010, and August 31, 2010 (the “Sweepstakes Period”), with each single transaction purchase of any size pack of either (i) a qualifying HEARTGARD Brand Product or (ii) a qualifying FRONTLINE® Brand Product from a participating veterinary clinic (collectively, a “Qualifying Purchase”), you will receive one (1) Scratch Card. Only one (1) Scratch Card earned per Qualifying Purchase. No more than ten (10) Scratch Cards may be obtained during the Sweepstakes Period. Once a Scratch Card is obtained, scratch off the designated area to reveal whether or not you have won. If the card reveals that you have won, complete the “pet owner” section of the Scratch Card at the participating veterinary clinic and have the clinic complete its portion of the Scratch Card. Submit the completed winning Scratch Card to the same participating veterinary clinic during the Sweepstakes Period to redeem your prize. All areas of the “pet owner” section and the “vet clinic” section must be completed. Scratch Cards that do not have all areas/information completed or those that contain illegible information may be disqualified in Sponsor’s or Armstrong’s sole discretion. Completed winning Scratch Cards received at a clinic must be redeemed during the Sweepstakes Period at the veterinary clinic at which the purchase was made.

To obtain a Scratch Card by mail without a purchase, while supplies last, send a self-addressed, stamped envelope including, in black or blue ink, your hand-printed full name and complete address, including zip code, to: MERIAL “Win What You Buy” Sweepstakes, P.O. Box 1753, Minneapolis, MN 55440-1753. Mail-in requests must be postmarked during the Sweepstakes Period (on or after July 1, 2010, and on or before August 31, 2010), and received no later than September 7, 2010. Incomplete Scratch Card requests will be disqualified in Sponsor’s sole discretion. Vermont residents with a return address in Vermont may omit return postage. Each mail-in request must be mailed in a separate outer envelope. No mechanical reproductions permitted. Only one (1) Scratch Card per valid request. No more than ten (10) Scratch Cards may be requested during the Sweepstakes Period. Once a Scratch Card is obtained, scratch off the designated area to reveal whether or not you have won. If the card reveals that you have won, complete the “pet owner” section of the Scratch Card and mail it to the address above no later than September 14, 2010, for receipt no later than September 21, 2010, to redeem your prize. No facsimiles, copies, or reproductions accepted. All areas of the “pet owner” section must be completed. Scratch Cards that do not have all required “pet owner” areas/information completed or those that contain illegible

information may be disqualified in Sponsor’s or Armstrong’s sole discretion.

The following applies to all entries, regardless of participation method: Only authorized Scratch Cards issued by Sponsor will be accepted. All others are not eligible and will be void for participation in this Sweepstakes. Limit of ten (10) Scratch Cards per person, regardless of the method of participation. All Scratch Cards must be obtained legitimately as set forth in these Official Rules and are subject to verification. Sponsor’s and Armstrong’s liability for any irregular Scratch Card is limited to replacement of another Scratch Card while supplies last. Such replacement with another Scratch Card (while supplies last) will be the sole and exclusive remedy under such circumstances. All Scratch Cards transferred to another person will be void. Scratch Cards may not be purchased, sold, bartered, auctioned (including through internet auction sites), given away, traded or obtained through any source other than through the methods, if any, described in these Official Rules. Any Scratch Card will be void if it fails to pass anti-fraud detection measures, or if determined by Sponsor or Armstrong, in their sole discretion, to be unauthorized, illegitimately obtained (i.e., through means other than those stated in these Official Rules) or if it contains an unauthorized message, code, or other marking not issued by Sponsor or Armstrong for use in the Sweepstakes, or if it is defective, contains printing or other mechanical/electronic errors, is produced in error, illegible, unreadable, or blank. No prize claim will be valid if a person’s participation is associated with any Scratch Card deemed void for any reason. Scratch Cards that are forged, altered, copied, sent by facsimile, lost, late, misdirected, mutilated, illegible or mechanically-reproduced will not be accepted and will be void. Sponsor and Armstrong reserve the right to audit sales receipts or use such other audit method as determined by Sponsor or Armstrong for verifying the Scratch Card or Scratch Card information in any manner deemed proper and appropriate by Sponsor or Armstrong in their sole discretion. All Scratch Cards become the property of Sponsor and will not be returned. As a condition of participating in the Sweepstakes, each participant gives consent for Sponsor and Armstrong to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Sweepstakes and complying with applicable laws, regulations and rules.

3. Prizes, Approximate Retail Value (“ARV”), Odds and Winner Clearance:

Twenty-five thousand (25,000) winning Scratch Cards will be available, each worth one (1) prize consisting solely of reimbursement to the winner in the same form and amount of the purchase price actually paid during the Sweepstakes Period for the Qualifying Purchase associated with the winning Scratch Card, up to a maximum of the amount equal to the purchase price of either the qualifying HEARTGARD Brand Product or the qualifying FRONTLINE Brand Product, as applicable for that Qualifying Purchase (each a “prize”). The prize will not include the price of any products purchased in the Qualifying Purchase that are returned during the Sweepstakes Period. If a participant requested and obtained a verified winning Scratch Card by mail, his or her prize will be six (6) doses of a FRONTLINE Brand Product. The ARV of each prize is the price the participant would have paid for the number and type of product in the Qualifying Purchase associated with the winning Scratch Card on the date of participation (any size pack of a qualifying HEARTGARD Brand Product or any size pack of a qualifying FRONTLINE Brand Product, as applicable for that Qualifying Purchase), or $100 for each mail-in winner. Total ARV of all prizes available in this Sweepstakes, assuming all Scratch Cards are properly obtained, is between $1,000,000 and $2,500,000.

The odds of winning a prize are: 1 in 160.

Each winner may be required to complete, sign, notarize (if applicable), and return, without alteration and in the form presented by Sponsor, an affidavit of eligibility and liability/publicity release and tax forms (as applicable) (collectively, the “Winner Documents”) according to Sponsor’s or Armstrong’s instructions within seven (7) days from when Sponsor or Armstrong sends the Winner Documents. Failure to comply with these requirements, Sponsor’s or its representative’s instructions or these Official Rules may result in disqualification from the Sweepstakes and forfeiture of any prize potentially won, in Sponsor’s or Armstrong’s sole discretion. The Winner Documents, if required, are each subject to verification by Sponsor or Armstrong and may require the participant to provide his or her Social Security Number and/or a copy of government-issued identification card or number. Exact prize details will be determined in Sponsor’s and Armstrong’s sole discretion. The Sponsor Affiliates are not responsible for false, incorrect, changed, incomplete or illegible contact information. Winner cannot transfer his or her prize to another without the express consent of Sponsor, which may be withheld for any reason. If any prize, prize notification or Sweepstakes-related communication is rejected, faulty or returned as undeliverable, if a winner cannot be reached after a reasonable attempt has been made by Sponsor or Armstrong (as determined by Sponsor or Armstrong in its sole discretion), or if a winner does not comply with Sponsor’s or Armstrong’s instructions, that winner may be disqualified and that prize may go unawarded. Sponsor Affiliates are not responsible for and winner will not receive the difference, if any, between the actual value of a prize at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or materials. All taxes (federal, state and local) and other expenses not specified in these Official Rules as being provided as part of the prize are the sole responsibility of the winner. Unclaimed prizes will not be awarded. All prizes legitimately claimed will be awarded. Verified winners who participated and won through a purchase will be awarded their prize directly at the participating vet clinic. Verified winners who participated and won by mail will be mailed their prize to the verified winner’s address in one (1) of the fifty (50) United States or the District of Columbia within approximately 4-6 weeks. Neither Sponsor nor Armstrong will replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address or other contact information. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize. No transfers, prize substitutions or cash redemptions will be made, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute the stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including, without limitation, prize unavailability. No more than the stated number of prizes will be awarded. If, due to printing, seeding, digital, computer programming, hardware or software, or production errors or for any reason, more potential winners come forward seeking to claim prizes in excess of the number of each type of prize as set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). Inclusion in such drawing shall be each participant’s sole and exclusive remedy under such circumstances.

4. General:

(a) Neither the Sponsor Affiliates nor any of their respective directors, officers, employees, members, managers and agents (collectively “Released Parties”) are responsible for any of the following, whether caused by a Sponsor Affiliate, the participant, or by human error: any lost, late, illegible, incomplete, stolen, mutilated, misdirected, undelivered or postage-due entries, mail, Scratch Cards, Scratch Card requests, or Sweepstakes-related correspondence or materials; entries that are submitted by illegitimate means or entries in excess of the stated limit; or technical or mechanical malfunctions. All Scratch Cards must be obtained legitimately from a participating veterinary clinic or as otherwise provided in Section 2 of these Official Rules. Released Parties are not responsible, and may disqualify you, if your e-mail address, mailing address or telephone number does not work or if it is changed without prior written notice to Sponsor. Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in participant’s e-mail account to receive e-mail messages, if any.

(b) By participating in the Sweepstakes, each winner grants the Sponsor Affiliates the right and permission to use his/her name, picture, image, portrait, likeness, voice, biographical information, and any information contained on their Scratch Card for advertising, trade, and commercial purposes, in any and all media now known or hereafter invented, devised, or discovered, worldwide, including on the Internet, without review, notice, or approval and without further compensation or permission, except where prohibited by law.

(c) BY PARTICIPATING, EACH PARTICIPANT AGREES TO RELEASE, DISCHARGE, INDEMNIFY, DEFEND, AND HOLD HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL LIABILITIES, LAWSUITS, COSTS, EXPENSES AND FEES (INCLUDING ATTORNEYS’ FEES) WHATSOEVER FOR ANY INJURY, NEGLIGENCE, LOSS OR DAMAGE OF ANY KIND, INCLUDING, WITHOUT LIMITATION, INJURY, DAMAGE, LOSS, DEATH, OR ACCIDENT TO PERSON, PET, OR PROPERTY, ARISING DIRECTLY OR INDIRECTLY, FROM OR IN CONNECTION WITH ACCEPTANCE, AWARDING, POSSESSION, USE OR MISUSE OF A PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY SWEEPSTAKES- OR PRIZE-RELATED ACTIVITY.

EACH PARTICIPANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS:

“CERTAIN CLAIMS NOT AFFECTED BY A GENRAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

(d) The Released Parties are not responsible for any typographical or printing error in these Official Rules, any Scratch Card, advertising for this Sweepstakes, or any other materials. Sweepstakes materials and entries are void if not obtained through the authorized, legitimate channels described in these Official Rules, or if any part is defective, altered, duplicated, photocopied, forged, counterfeited, mutilated or tampered with in any way, or if any Sweepstakes materials contain a printing, typographical, mechanical or other error, or do not contain proper security devices. No more than the stated number of prizes will be awarded.

(e) If this Sweepstakes is incapable of running as planned for any reason, including, without limitation, because of tampering, unauthorized intervention, fraud, human error, or any other cause that corrupts or threatens to corrupt or adversely affects the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Sweepstakes.

(f) EACH WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS AND THE RELEASED PARTIES DO NOT MAKE ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESSED OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF ANY OF THE PRIZES INCLUDING, WITHOUT LIMITATION, QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, WHETHER NOW KNOWN OR HEREAFTER ENACTED. FURTHER, NO RESPONSIBILITIES ARE ACCEPTED BY THE RELEASED PARTIES FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY.

(g) Sponsor reserves the right to permanently disqualify any person it believes has violated or attempted to violate these Official Rules. By participating in this Sweepstakes, each participant agrees to not knowingly damage or cause interruption to the Sweepstakes and/or prevent others from participating in the Sweepstakes. Any attempt to tamper with, impair, damage, or undermine the legitimate operation, administration, security, fairness, or proper play of this Sweepstakes violates criminal and/or civil laws. If such an attempt is made or if any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, Sponsor may disqualify that prize claimant or participant and may seek damages to the fullest extent permitted by law.

(h) Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and these Official Rules (including any alleged discrepancy or inconsistency in these Official Rules), the discrepancy will be resolved in Sponsor’s sole discretion. If Sponsor determines at any time in its sole discretion that the winner or potential winner is disqualified, ineligible, or in violation of these Official Rules, Sponsor reserves the right in its sole discretion to select an alternate winner, even if the disqualified potential winner’s name may have been shown or announced on a winners list or elsewhere.

(i) Except where prohibited, as a condition of participating in this Sweepstakes, each participant agrees that any and all disputes that cannot be resolved between the participant and any Sponsor Affiliate, claims and causes of action arising out of or connected with this Sweepstakes, the prize awarded, or the determination of the winner must be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-pocket expenses (if any), not to exceed two hundred fifty dollars ($250), and participant further waives all rights to have damages multiplied or increased.

(j) Without limiting any other provision in these Official Rules, the Released Parties are not responsible or liable to any participant or winner or any person claiming through such participant or winner for failure to supply the prize or any part thereof in the event that any of the Sweepstakes activities or the Released Parties’ operations or activities are affected, as determined by the Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental, federal, state or local government authority, or any other cause, whether or not specifically mentioned above.
